Partner Agreement
The agreement between Build Orbit Ltd (PrepHub) and each kitchen that sells on PrepHub. Kitchen owners accept it, with the Data Processing Agreement, before using the kitchen admin.
It works with our Data Processing Agreement. Questions: support@prephubuk.co.uk.
1. Parties and definitions
1.1 This agreement is between Build Orbit Ltd, a company registered in Scotland (number SC905496), registered office 18 Sauchie Crescent, Kinglassie, Lochgelly, Scotland, KY5 0YZ, trading as PrepHub ("PrepHub", "we"), and the business named on the sign-up form ("the Partner", "you").
1.2 It starts when the Partner accepts it online or signs it (the "Start Date").
1.3 In this agreement:
| Term | Meaning |
|---|---|
| Platform | The PrepHub website, the Partner's storefront and the kitchen admin |
| Storefront | The Partner's branded page at prephubuk.co.uk/business/[slug] |
| Customer | Anyone who orders from the Partner through the Platform |
| Order | A customer's purchase of meals or a meal plan bundle from the Partner |
| Subscription Fee | The monthly fee in clause 3 |
| Stripe | Stripe Payments UK Ltd and its affiliates, which process card payments |
| Partner Content | Menus, photos, logos, prices, descriptions and other material the Partner adds |
| DPA | The PrepHub Data Processing Agreement, which forms part of this agreement |
2. The service
2.1 PrepHub gives the Partner a branded Storefront and a kitchen admin to run its meal prep business, including:
- weekly menus, meal plan bundles, order cut-offs, and collection and delivery options;
- order taking, card payments through Stripe and recording cash payments;
- order, meal and preparation tracking, labels and grocery lists;
- customer accounts, messages, reviews and order emails;
- staff access with two-factor sign-in, reports and how-to guides.
2.2 PrepHub is a technology platform. The Partner sells its meals directly to Customers. The contract for each Order is between the Partner and the Customer, and the Partner is the seller and merchant of record.
2.3 PrepHub does not prepare, store, deliver or inspect food, set the Partner's prices, or employ the Partner's staff.
2.4 Features may be added, changed or removed over time (clause 8).
3. Fees, free trial and payment
3.1 Subscription Fee: £39.99 a month. Build Orbit Ltd isn't VAT registered, so no VAT is added. If it registers, VAT will be added at the applicable rate from the date of registration, with 30 days' notice.
3.2 Free trial: [PLACEHOLDER: trial length, e.g. 30 days or 3 months, and whether a card is needed to start]. No Subscription Fee is due during the trial. Either party can end the agreement during the trial at no cost.
3.3 Order fees: [PLACEHOLDER: none, or a per-order or percentage platform fee]. Stripe charges its own processing fees direct to the Partner's Stripe account; these aren't PrepHub fees.
3.4 Billing: the Subscription Fee is billed monthly in advance from the end of the trial [PLACEHOLDER: by card, direct debit or invoice], and is due within 14 days of the invoice.
3.5 Late payment: if the fee is more than 14 days overdue, PrepHub may suspend the Storefront after 7 days' written notice (clause 10.3). Statutory late payment interest may apply.
3.6 Price changes: PrepHub may change the Subscription Fee with at least 60 days' notice. The Partner may end the agreement before the change takes effect at no cost.
3.7 Fees already paid aren't refundable, except where PrepHub ends the agreement without cause (clause 10.2), in which case the unused part of the month is refunded.
4. Customer payments
4.1 Card payments are made through Stripe Connect. The Partner connects its own Stripe account and accepts Stripe's terms directly. Customer payments go straight into the Partner's Stripe account; PrepHub doesn't hold or handle the Partner's money.
4.2 The Partner may also accept cash on collection or delivery, and records it in the kitchen admin.
4.3 Refunds: the Partner decides and issues refunds through the kitchen admin or Stripe. The Partner's refund terms apply (clause 5.6); where it sets none, PrepHub's default applies: a full refund if cancelled before the order cut-off, and quality problems handled by the Partner.
4.4 Chargebacks and disputes: these are between the Partner, the Customer and Stripe. The Partner bears any chargeback amounts and fees. PrepHub will share order records it holds to help the Partner respond.
4.5 The Partner is responsible for its own tax, VAT and accounting on its sales.
5. Partner obligations
The Partner must, throughout this agreement:
5.1 Food business registration: be registered as a food business with its local authority (at least 28 days before it starts trading) and keep a food hygiene rating it is willing to display. It will tell PrepHub within 7 days if its registration is withdrawn or its rating falls to 2 or below [PLACEHOLDER: confirm threshold].
5.2 Food safety: follow food safety and hygiene law, including having a HACCP-based food safety management system, trained staff, and safe storage, packaging, labelling and transport.
5.3 Allergens: list accurate allergen information for every meal, covering the 14 major allergens, and label meals as the law requires (including full ingredient and allergen labelling for prepacked for direct sale food, "Natasha's Law"). It will update listings before any recipe change goes on sale, and take account of allergies Customers record.
5.4 Insurance: hold public and product liability insurance of at least [PLACEHOLDER: £1m / £2m / £5m] per claim, and employer's liability insurance where required, and show evidence on request.
5.5 Accurate listings: keep menus, prices, photos, cut-offs, collection times, delivery areas and contact details accurate, and fulfil Orders it accepts.
5.6 Refund terms: honour PrepHub's default refund terms or its own terms set in the kitchen admin, which must not be less than Customers' legal rights.
5.7 Customer care: answer Customer messages and complaints within [PLACEHOLDER: 2 working days], and treat Customers fairly.
5.8 Lawful trading: comply with consumer, trading standards, tax, employment and other laws that apply to its business, and not sell alcohol or other age-restricted goods through the Platform [PLACEHOLDER: confirm].
5.9 Accounts: keep staff sign-in details secure, use two-factor sign-in, give admin access only to people who need it, and remove it when they leave.
6. Customers and data protection
6.1 Customer accounts belong to PrepHub, and a Customer can order from several kitchens with one account. Customers who order from the Partner are also the Partner's customers.
6.2 Each party is an independent controller of the Customer data it uses for its own purposes: PrepHub for running accounts and the Platform, the Partner for preparing and handing over Orders and running its business. Where PrepHub processes data on the Partner's behalf (for example, storing the Partner's order records, staff details and customer notes), it does so as the Partner's processor. The DPA sets out these roles in detail.
6.3 The Partner will:
- use Customer data only to fulfil Orders, deal with Customers and meet its legal duties, and send marketing only where the law allows;
- treat allergy information as health data, use it only to prepare safe meals, and not copy it out of the Platform except on labels or prep sheets;
- keep its own copies of Customer data secure and delete them when no longer needed;
- tell PrepHub at privacy@prephubuk.co.uk without undue delay, and within 24 hours, of any personal data breach involving Platform data.
6.4 Both parties will comply with the UK GDPR and the Data Protection Act 2018, and help each other respond to Customer rights requests.
7. Content, intellectual property and branding
7.1 The Partner keeps ownership of its Partner Content. It gives PrepHub a non-exclusive, royalty-free licence to host, display, adapt (for example, resize photos) and use it to run and promote the Platform, during this agreement and for 30 days after.
7.2 The Partner confirms it owns or has permission to use all Partner Content, and that it isn't misleading or unlawful. Meal template photos PrepHub provides may be used only on the Platform.
7.3 PrepHub may name the Partner and show its logo as a PrepHub kitchen in marketing [PLACEHOLDER: opt-in or opt-out].
7.4 PrepHub owns the Platform, its software, design and the PrepHub name and brand. The Partner may not copy, resell or reverse-engineer the Platform.
7.5 PrepHub may remove Partner Content or Customer reviews that are unlawful, misleading or offensive. It won't remove genuine reviews just because they are negative.
8. Availability, support and changes
8.1 PrepHub will use reasonable care and skill to keep the Platform available and secure, but doesn't promise it will be uninterrupted or error-free. It will try to schedule maintenance outside busy ordering times and give notice where it can.
8.2 Support: by email at support@prephubuk.co.uk, [PLACEHOLDER: hours, e.g. Monday to Friday 9am to 5pm], aiming to reply within 1 working day. How-to guides are in the kitchen admin.
8.3 PrepHub staff can access the Partner's kitchen admin to give support and keep the Platform secure. That access is limited to PrepHub's own admin team, who must use two-factor sign-in.
8.4 PrepHub may improve or change the Platform. It will give at least 30 days' notice of any change that removes a feature the Partner relies on or materially reduces the service, and the Partner may end the agreement at no cost before it takes effect.
9. Liability and indemnity
9.1 Nothing in this agreement limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be limited by law.
9.2 Food is the Partner's responsibility. PrepHub isn't liable for the safety, quality, allergen content, labelling or delivery of the Partner's meals, or for the Partner's dealings with Customers.
9.3 The Partner will indemnify PrepHub against claims, fines and reasonable costs arising from its food, its breach of clause 5, its Partner Content, or its misuse of Customer data.
9.4 Neither party is liable for loss of profit, revenue, goodwill or data (other than through its breach of data protection law), or for indirect or consequential loss.
9.5 PrepHub's total liability in any 12 months is limited to [PLACEHOLDER: the Subscription Fees paid in that period / a fixed sum such as £5,000].
9.6 Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages at Stripe, hosting providers or internet services.
10. Term, suspension and termination
10.1 This agreement runs month to month from the Start Date [PLACEHOLDER: or a minimum term, e.g. 12 months]. The Partner may end it at any time with 30 days' notice by email to support@prephubuk.co.uk.
10.2 PrepHub may end it without cause with 60 days' notice.
10.3 Either party may end it straight away by written notice if the other seriously breaches it and doesn't put that right within 14 days of being asked, or becomes insolvent. PrepHub may suspend the Storefront first while a breach is being put right.
10.4 PrepHub may suspend the Storefront straight away, without notice, where it reasonably believes there is a risk to Customers' health or safety (for example, a food safety concern or withdrawn registration), fraud, or a security threat. It will tell the Partner why and restore access once the risk is resolved.
10.5 When the agreement ends:
- the Storefront closes to new Orders; the Partner fulfils or refunds Orders already accepted;
- the Partner can export its order, customer and payment records for 30 days [PLACEHOLDER: confirm export format, e.g. CSV];
- PrepHub then deletes or anonymises the Partner's data as the DPA sets out, keeping only order and payment records it must keep by law (6 years);
- Customer accounts stay with PrepHub, and Customers can carry on ordering from other kitchens;
- clauses 4.4, 6, 7.4, 9 and 11 continue.
11. General
11.1 Notices: by email, to support@prephubuk.co.uk for PrepHub and to the Partner's account owner email for the Partner. An email is received on the next working day after it is sent.
11.2 Changes to this agreement: PrepHub may update it with at least 30 days' notice. If the Partner doesn't accept a change, it may end the agreement before it takes effect.
11.3 Transfer: the Partner may not transfer this agreement without PrepHub's consent. PrepHub may transfer it to a buyer of the PrepHub business, with notice.
11.4 Relationship: the parties are independent. Nothing makes them partners in law, joint venturers, or employer and employee, despite the "Partner" name.
11.5 Entire agreement: this agreement, the DPA and any order form are the whole agreement. If they conflict, the DPA wins on data protection and this agreement wins on everything else.
11.6 Third parties: no one else has rights under this agreement, including under the Contract (Third Party Rights) (Scotland) Act 2017.
11.7 Law and courts: this agreement is governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
